  • Article 1 The Open Source Society is an open source community formed by individual volunteers who volunteer to contribute to the open source cause and follow the principles of "contribution, consensus, and co-governance".

  • Article 2 The English name of Kaiyuanshe is "KAIYUANSHE", and the official website address is https://kaiyuanshe.cn/

  • Article 3 The vision of Kaiyuanshe is: Based in China, contribute to the world, and promote open source as a way of life in the new era.

  • Article 4 The mission of Kaiyuanshe is: open source governance, international integration, community development, project incubation, and join hands with domestic communities, universities, enterprises and governments to create a healthy and sustainable open source ecosystem.

  • Article 5 The purpose of Kaiyuanshe is to popularize knowledge and provide related services for the correct use, licensing, and community building and governance of open source software and hardware in China.

  • Article 6 The philosophy of the Open Source Society is: as the first member of the Open Source Initiative - OSI in China, agree with OSI's definition of open source, and encourage more Chinese developers and Chinese companies to understand, agree and choose OSI-defined Open Source License Agreement.

  • Article 7 Kaiyuanshe abides by national laws and regulations, social order and good customs, and follows relevant national policies.

  • Article 8 The online functions and activities of Kaiyuanshe, including but not limited to:

    • Provide domestic and foreign knowledge on the correct use of open source software and hardware, licensing, community building and governance, and industry trends;

    • Provide introduction and identification services of open source software and hardware licensing agreements, evaluation services of open source licenses, and translation services of open source technical documents;

    • Open source software and hardware technology online learning, online hands-on experiment environment, cloud computing resources, early project incubation, community interactive environment (forums, blogs, wikis, social software, etc.).

  • Article 9 The offline activities of Kaiyuanshe include but are not limited to: supporting open source software and hardware developers, communities, media, enterprises, and government related activities, as well as the cultivation of open source culture in colleges and universities, knowledge popularization and technical learning.

  • Article 10 The governance structure of Kaiyuanshe includes a council, an advisory committee, and a legal advisory committee. The executive committee and project committee are set up under the council.

  • Article 11 The Kaiyuan Society establishes a council, which is the highest decision-making body of the Kaiyuan Society and makes decisions on behalf of the interests of all formal members. Under the leadership of the council, the executive committee and project committee carry out daily work. The executive committee of Kaiyuanshe has a variable number of working groups, which work in a specific field; and the project committee has a variable number of project teams, which work on a specific project.

  • Article 12 According to the size of Kaiyuanshe, the number of council members is nine, and the proportion of directors serving in the same company cannot exceed 30%. The council has a chairman, vice-chairman and several directors. The term of the council is one year. The seats on the council are elected by all official members of Kaiyuanshe. All official members can nominate or recommend candidates for the election of the council, and all have the right to vote and be elected to the council.

  • Article 13 The council meeting shall be held at least once a month, and the time and place shall be decided by the chairman. Council meetings can also be held through audio or video conference calls, but more than two-thirds of the council members must be present to be valid. Council resolutions must be passed by more than half of the directors present to take effect.

  • Article 14 The Council may exercise the following functions and powers:

    • Elect the chairman and vice-chairman;

    • The chairman of the board of directors can be re-elected for up to two terms, and at least one year after leaving office, he can participate in the election of the chairman again;

    • Make decisions on the appointment and removal of the CEO;

    • Decide on the entry and exit of regular members;

    • Maintain the stable operation of the board of directors, approve the amendments to the charter and other important internal management documents;

    • Decide on the settings of the Kaiyuanshe working group and project team;

    • Approve the council's annual financial budget (final) accounts, coordinate fund raising, use and income distribution plans, etc.;

    • Decide on other important matters.

  • Article 15 The executive committee is the daily executive and administrative body of Kaiyuanshe, and implements the chief executive responsibility system. There is an executive director, several deputy executive directors, team leaders and deputy team leaders. The CEO is accountable to the Council. The appointment and dismissal of the chief executive are decided by the board of directors. The deputy executive director, team leader and deputy team leader are appointed by the executive director for a term of one year.

  • Article 16 The Executive Committee may exercise the following powers:

    • Execute the resolution of the board of directors and take full responsibility for the daily affairs of Kaiyuanshe;

    • Responsible for the preparatory work of the council meeting or enlarged meeting, submit the annual work summary report to the council, and prepare the annual work plan, financial budget and final account plan;

    • Responsible for accepting applications to join Kaiyuanshe and reviewing their qualifications;

    • Responsible for the coordination of official members of Kaiyuanshe.

  • Article 17 The project committee is an organization composed of heads of multiple project teams initiated and operated by Kaiyuanshe. A director appointed by the council is responsible for management.

  • Article 18 The project committee can exercise the following powers:

    • Implement the resolutions of the Council on the project;

    • Responsible for accepting the application of the Kaiyuanshe project, and the members of the project committee vote to approve the establishment, joining or rejection of the project;

    • Responsible for coordinating the resources of Kaiyuanshe, coordinating and promoting the smooth development of various projects.

  • Article 19 The working group is responsible for the daily work in a specific field; the project team is established around major projects, special topics, and topics. Each working group and project shall have one team leader, one (or more) deputy team leader may be added, and several team members. There is no limit to the number of workgroups or project groups.

  • Article 20 The initiation of a working group or project team shall be proposed by official members, and the objectives, scope of responsibilities and work plan of the working group or project group shall be stated, and shall be formally established after being approved by the council or project committee. Working groups and project teams should submit work reports regularly. At the annual meeting, the Council will review the work of each working group and project team and decide whether to continue their work.

  • Article 21 Members of Kaiyuanshe include ordinary community members, formal members and other individual volunteers.

  • Article 22 All individual volunteers who are interested in open source, have joined the working group or project team of the Open Source Society, and made specific contributions, have been recommended by at least two official members of the Open Source Society (the recommendation words of the two official members must be clearly defined. To explain the specific contribution of the recommendee to the open source and the open source community, as a reference for all official members to vote), you can apply to become an official member of the open source community.

  • Article 23 After voting by all official members, if the voting ratio exceeds 60%, and the candidates get more votes in favor than against, it is deemed to have passed the application for becoming an official member of the Open Source Society, and can become an official member of the Open Source Society in an individual capacity.

  • Article 24 The rights of full members are as follows:

    • Enjoy the title of "Official Member of Kaiyuan Society";

    • The list of official members can be displayed on the official website of Kaiyuanshe;

    • You can apply for the official email account of Kaiyuanshe;

    • Can apply for the Kaiyuanshe business card, and print the title of the official member of the Kaiyuanshe and the title of the volunteer in the working group or project team of the Kaiyuanshe (such as team leader, deputy team leader, secretary, official member, etc.);

    • Have the right to recommend and vote for full member candidates every year. Has the right to elect and be elected as a director of the Open Source Society;

    • Have the benefits of participating in various online and offline activities of Kaiyuanshe for free or at a discount. Have the right to apply for necessary travel subsidies related to the offline activities of Kaiyuan Club (Note: As an open source community with limited resources, we will review it according to the budget and the status of the applicant);

    • Have the right to apply for travel subsidies for international open source conferences (currently limited to several international foundations that have close cooperation with open source clubs, such as ApacheCon, LinuxCon-LC3, etc.) (note the same as above);

    • Enjoy the priority application right to assist in the promotion of articles and activities related to open source in the community or company where the official member belongs (the application process and review must be passed first).

  • Article 25 The obligations of full members are as follows:

    • Understand and agree with the principle of "Contribution, Consensus, and Co-governance " of Kaiyuanshe ;

    • Support and participate in the core mission of Open Source Society "Open Source Governance, International Integration, Community Development, and Project Incubation";

    • Understand and be familiar with the charter of Kaiyuanshe: https://kaiyuanshe.cn/profile/charter/;

    • Select at least one working group or project group to join and make corresponding contributions;

    • Actively participate in the important activities of Kaiyuanshe, such as voting for new members and voting for director elections;

    • Actively participate in online and offline activities of the Open Source Society, promotion and related open source projects.

  • Article 26 The main sources of funding for Kaiyuanshe:

    • Event and service income;

    • corporate and social donations;

    • other legitimate income.

  • Article 27 The funds of the Kaiyuan Society are used for the organization of the Kaiyuan Society's activities, work development and daily operation maintenance, and shall not be distributed among members, and no unit or individual may embezzle, privately divide or misappropriate it.

  • Article 28 Kaiyuanshe entrusts Xingyuan (Shanghai) Information Technology Co., Ltd. to be responsible for relevant financial management, publish financial reports regularly, and accept the supervision of members.

  • Article 29 The Articles of Association shall come into force after more than two-thirds of the members of the board of directors pass the approval and announce to all full-fledged members by mail or other written means.

  • Article 30 The final interpretation of this constitution belongs to the council.

Introduction to Kaiyuanshe

Founded in 2014, Kaiyuan Society is composed of individual members who voluntarily contribute to the cause of open source.
