Paid-in system: It is required that the registered capital of the company must be paid in by the shareholders within the prescribed time limit, and the capital verification institution established by law must issue a capital verification certificate and apply for registration with the registration authority. That is, the registered capital must go through capital verification. If the registered capital is 1 million enterprises, 100 must be transferred to the corporate account, and can be transferred out after capital verification. This capital verification process is to verify that the company does have the corresponding financial strength.

Subscription system: It means that the registration authority only registers the total capital contribution (registered capital) subscribed by the shareholders (promoters) of the company, and the actual capital contribution (paid-in capital) paid by the shareholders (promoters) is independently agreed by the shareholders of the company and recorded in the company charter. The step of capital verification is omitted, and there is no need to pay the registered capital when the company is registered, and there is no need to advance capital. As long as the shareholder's capital contribution reaches this part of the fund within the period of the business license (generally 20 years), that is to say, it is enough to generate this part of the capital flow from the business operation.
